STANDARD TERMS AND CONDITIONS OF SALE

Special Accessories

These Standard Terms and Conditions of Sale ("Terms") govern all sales of goods and services by Special Accessories ("the Company"). By placing an order with the Company, the client agrees to be bound by these Terms, which supersede any conflicting terms proposed by the client unless expressly agreed to in writing by the Company.

  1. Acceptance of Terms
    The client waives its own terms and conditions, even if provided after these Terms. Any exceptions or modifications to these Terms must be explicitly agreed upon in writing by both parties.
  2. Payment Terms
    All invoices issued by Special Accessories are payable within 14 calendar days from the invoice date, unless otherwise specified in the order or invoice. If payment is not received by the due date, the Company reserves the right to:
    • Charge a late payment fee of 8% of the outstanding amount.
    • Suspend delivery of goods or provision of services without prior notice.
      If payment remains outstanding for more than thirty (30) days past the due date, the Company may engage a debt collection agency, and the client will be responsible for all associated costs, including legal fees.
  3. Taxes and Withholding
    The client is responsible for any taxes, duties, or withholdings required by local laws. The full invoice amount is payable to Special Accessories without deductions for any withholding taxes or costs related to the client’s local legislation.
  4. Delivery and Performance
    Special Accessories will make reasonable efforts to deliver goods and services within agreed timeframes. However, delivery dates are estimates and not guaranteed. The Company is not liable for delays caused by circumstances beyond its control, including but not limited to supply chain disruptions or force majeure events.
  5. Claims and Returns
    Any claims regarding defective goods or services must be submitted in writing to Special Accessories via recorded delivery to our registered office within 7 days of receipt of goods or completion of services. The Company will not be liable for claims received after this period. Returns are subject to the Company’s approval and must comply with our return policy.
  6. Limitation of Liability
    Special Accessories is not responsible for indirect, consequential, or incidental damages arising from the use of our goods or services. The Company’s liability is limited to the value of the goods or services provided. The Company will not act as a third party in any claims filed against the client by end consumers.
  7. Governing Law
    All contracts and transactions with Special Accessories are governed exclusively by the laws of Nigeria. Any disputes arising under these Terms will be resolved in the courts of Nigeria.
